Terms & Conditions
The terms that apply to all our services, including AI and Nexovix.
1. Definitions and applicability
These terms apply to all quotes, agreements and services of Branding Guru B.V., including websites (Nexovix), web apps, automations, vibe coding, AI to product, branding, online marketing, strategy, business advisory, hosting, Quick Scan and price indications.
Deviations apply only if agreed in writing. Your purchasing terms are expressly rejected unless we accept them in writing.

2. Quotes and formation
Website price indications are non-binding. Binding quotes are valid for 2 months unless stated otherwise. An agreement is formed after written acceptance (including email or e-signature) by both parties.
3. Services and performance
We perform services on a best-efforts basis unless a result obligation is expressly agreed. Scope, timeline and deliverables are set in the quote. Change requests are estimated in advance or billed at agreed rates.
4. Client cooperation
You provide timely content, access, feedback and decisions. Delay from missing input shifts planning accordingly without putting us in default.
5. Prices and payment
Prices are in euros and exclusive of VAT unless stated otherwise. Payment is due within 14 days of the invoice date to bank account NL38REVO4018289022 in the name of Branding Guru B.V., unless otherwise agreed. Late payment triggers statutory commercial interest and reasonable collection costs. We may suspend work for unpaid invoices.
6. Intellectual property
Websites / Nexovix: websites are built on Nexovix CMS, owned by Branding Guru B.V.. Nexovix (software, themes, platform code) is not transferable on termination. Your content, copy and brand assets remain yours.
Web apps, automations, vibe coding, AI to product: ownership of custom code and deliverables is set per project in the quote (yours, ours, or shared/licensed).
Branding / design: after full payment, agreed brand assets transfer to you unless stated otherwise. Portfolio right: we may showcase the work unless you object in writing for confidentiality reasons.
7. Hosting, maintenance and SLA
Website hosting is always included with Branding Guru B.V. as per the quote. For web apps and other development, hosting is agreed in writing. Availability is reasonable efforts unless a separate SLA is agreed. Maintenance, updates and ongoing development (fixed hours) follow the retainer or maintenance agreement.
8. AI services and output
For AI-assisted services: AI output may be incorrect or incomplete. We deliver with human review as per the project, but do not warrant that AI-generated code, copy or decisions are error-free, non-infringing or fit for a particular purpose unless warranted in writing. You remain responsible for validation in your context. See AI policy.
9. Quick Scan
The free Quick Scan is an indicative technical/marketing analysis, not legal, financial or security audit advice. Scores and recommendations are snapshots. You warrant you are authorised to have the submitted URL scanned.
10. Confidentiality and privacy
Parties keep confidential information secret. Personal data is processed under our privacy policy and, where we are a processor, the data processing agreement.
11. Liability
Our total liability per event (series of related events) is limited to the invoice amount of the relevant engagement over the 6 months preceding the damaging event, capped at €25,000 unless agreed otherwise in writing. Indirect damages (consequential loss, lost profit, data loss) are excluded except in case of intent or wilful recklessness. Claims lapse if not notified in writing within 30 days of discovery.
12. Termination
Fixed-term agreements end automatically. Open-ended retainers may be terminated at the end of a calendar month with 1 month notice unless otherwise agreed. On ending website hosting, Nexovix access stops; we will reasonably assist with exporting your content at then-current rates.
13. Force majeure
In force majeure (including third-party outages, cyber attacks beyond our reasonable control, pandemic restrictions), obligations are suspended for as long as the situation continues.
14. Governing law and forum
These terms are governed by Dutch law. Disputes are submitted to the competent court in the District of The Hague, unless mandatory law provides otherwise.
